Conditions générales
Article 1 – Definitions
For the purposes of these terms and conditions, the following definitions apply:
Withdrawal period: the period within which the consumer can exercise their right of withdrawal.
Consumer: the natural person who is not acting in the course of a professional or commercial activity and who enters into a distance contract with the professional.
Day: calendar day.
Successive performance contract: a distance contract relating to a series of products and/or services, where the delivery and/or purchase obligation is spread over time.
Durable medium: any means that allows the consumer or professional to store information addressed to them personally, in a way that allows for future consultation and identical reproduction.
Right of withdrawal: the possibility for the consumer to withdraw from the distance contract during the withdrawal period.
Professional: the natural or legal person who offers products and/or services to consumers remotely.
Distance contract: a contract concluded within the framework of a system organized by the professional for the remote sale of products and/or services, in which one or more remote communication techniques are exclusively used until the conclusion of the contract.
Remote communication technique: any means that can be used to conclude a contract without the consumer and the professional being simultaneously present at the same place.
General Terms and Conditions: these General Terms and Conditions of the professional.
Article 2 – Right of Withdrawal
The consumer has the right to withdraw from the contract within 30 days without having to provide a reason. During the withdrawal period, the consumer must handle the product and its packaging with care.
If the consumer exercises their right of withdrawal, they must return the product with all supplied accessories and, as far as possible, in its original condition, in accordance with the professional's reasonable instructions.
Article 3 – Applicability
These General Terms and Conditions apply to every offer made by the professional and to every distance contract concluded and every order placed between the professional and the consumer.
Before the distance contract is concluded, the text of these General Terms and Conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated before the distance contract is concluded that the General Terms and Conditions can be consulted at the professional's premises and that they will be sent to the consumer free of charge as soon as possible upon request.
If the distance contract is concluded electronically, notwithstanding the previous paragraph and before the contract is concluded, the text of these General Terms and Conditions may be made available to the consumer electronically in such a way that they can be easily stored on a durable medium. If this is not reasonably possible, it will be indicated, before the distance contract is concluded, where the General Terms and Conditions can be consulted electronically and that they will be sent to the consumer free of charge, electronically or by any other means, upon request.
In cases where specific product or service conditions also apply in addition to these General Terms and Conditions, the second and third paragraphs apply mutatis mutandis, and the consumer can always invoke the most favorable provision in the event of conflicting conditions.
If one or more provisions of these General Terms and Conditions are at any time wholly or partially null and void or annulled, the contract and the other provisions of these General Terms and Conditions will remain fully valid, and the relevant provision will be immediately replaced, by mutual agreement, by a provision that approximates the purpose of the original provision as closely as possible.
Situations not governed by these General Terms and Conditions must be assessed in the spirit of these General Terms and Conditions. Any doubt regarding the interpretation or content of one or more provisions of these General Terms and Conditions must be interpreted in the spirit of these General Terms and Conditions.
Article 4 – The Offer
When an offer has a limited duration or is subject to specific conditions, this will be explicitly stated in the offer. The offer is not binding. The professional reserves the right to modify and adapt the offer.
The offer contains a complete and accurate description of the products and/or services offered. The description is sufficiently detailed to allow the consumer to make a proper assessment of the offer.
When the professional uses images, these are a true representation of the products and/or services offered. Obvious mistakes or errors in the offer do not bind the professional.
All images and specifications in the offer are indicative and cannot give rise to compensation or termination of the contract.
Product images are a true representation of the products offered. The professional cannot guarantee that the displayed colors exactly match the actual colors of the products.
Each offer contains the necessary information for the consumer to clearly understand the rights and obligations associated with accepting the offer. This concerns in particular:

Any shipping costs.

How the contract will be concluded and what actions are required for this.

Whether the right of withdrawal applies.
-
The method of payment, delivery, and execution of the contract.
-
The period for accepting the offer, or the period within which the professional guarantees the price.
-
The amount of the rate for remote communication if the costs for using the remote communication technique are calculated on a basis other than the regular basic rate for the communication method used.

Whether the contract will be archived after its conclusion, and if so, how the consumer can consult it.
-
How the consumer can check and, if necessary, correct the data provided before the conclusion of the contract.
-
Any other languages in which, in addition to French, the contract can be concluded.

The codes of conduct to which the professional adheres and how the consumer can consult these codes of conduct electronically.

The minimum duration of the distance contract in the case of a successive performance contract.
Optional: available sizes, colors, material types.
Article 5 – The Contract
Subject to the provisions of paragraph 4, the contract is concluded when the consumer accepts the offer and fulfills the conditions set forth.
If the consumer has accepted the offer electronically, the professional will immediately confirm receipt of the acceptance of the offer electronically. As long as the receipt of this acceptance has not been confirmed by the professional, the consumer can terminate the contract.
If the contract is concluded electronically, the professional will take appropriate technical and organizational measures to secure the electronic transfer of data and ensure a secure web environment. If the consumer can pay electronically, the professional will take appropriate security measures.
The professional can, within legal limits, investigate whether the consumer can meet their payment obligations, as well as all facts and factors that are important for a responsible conclusion of the distance contract. If, based on this investigation, the professional has valid reasons not to enter into the contract, they are entitled to refuse an order or request with reasons, or to attach special conditions to the execution.
The professional will send the consumer the following information, in writing or in such a way that it can be stored by the consumer in an accessible manner on a durable medium, along with the product or service:

The visiting address of the professional's establishment where the consumer can lodge complaints.

The conditions under which and the manner in which the consumer can exercise the right of withdrawal, or a clear statement regarding the exclusion of the right of withdrawal.

Information about existing guarantees and after-sales service.

The information included in Article 4, paragraph 3 of these General Terms and Conditions, unless the professional has already provided this information to the consumer before the execution of the contract.

The requirements for terminating the contract if the contract has a duration of more than one year or is for an indefinite period.
In the case of a successive performance contract, the provision in the previous paragraph applies only to the first delivery.
Every contract is concluded under the condition of sufficient availability of the respective products.
Article 6 – Right of Withdrawal
When purchasing products, the consumer can withdraw from the contract without giving reasons within 30 days.
This withdrawal period begins on the day after receipt of the product by the consumer or a representative previously designated by the consumer and communicated to the professional.
During the withdrawal period, the consumer must handle the product and its packaging with care. They may only unpack or use the product to the extent necessary to determine whether they wish to keep it.
If they exercise their right of withdrawal, the consumer must return the product with all supplied accessories and, as far as reasonably possible, in its original condition and packaging, in accordance with the reasonable and clear instructions provided by the professional.
If the consumer wishes to exercise their right of withdrawal, they must inform the professional within 30 days of receiving the product. This notification must be made in writing or by email.
After communicating their intention to exercise their right of withdrawal, the consumer must return the product within 30 days. The consumer must be able to prove that the goods have been returned within the specified period, for example by means of a shipping receipt.
If, after the expiry of the periods specified in paragraphs 2 and 3, the consumer has not communicated their intention to exercise their right of withdrawal and/or has not returned the product to the professional, the purchase will be considered final.
Article 7 – Costs in case of Withdrawal
When the consumer exercises their right of withdrawal, the costs of returning the products are at their expense.
If the consumer has made a payment, the professional will refund the amount paid as soon as possible and, in any case, no later than 30 days after the withdrawal. This refund will be subject to the product being received by the professional or valid proof being provided that the product has been returned in full.
Article 8 – Exclusion of the Right of Withdrawal
The professional can exclude the consumer's right of withdrawal for certain products as described in paragraphs 2 and 3. The exclusion of the right of withdrawal is only valid if the professional has clearly indicated this in the offer or, in any case, before the conclusion of the contract.
Exclusion of the right of withdrawal is only possible for products:

Manufactured by the professional according to the specifications provided by the consumer.
-
Clearly personalized.
-
Which, due to their nature, cannot be returned.
-
That can spoil or age quickly.
-
Whose price is subject to fluctuations in the financial market over which the professional has no influence.
-
Newspapers and magazines sold individually.
-
Audio, video recordings, and computer software of which the seal has been broken by the consumer.
-
Hygiene products of which the seal has been broken by the consumer.
Article 9 – The Price
During the validity period indicated in the offer, the prices of the products and/or services offered will not be increased, except for price changes due to changes in VAT rates.
Notwithstanding the previous paragraph, the professional may offer products or services whose prices are subject to fluctuations in the financial market over which they have no influence, with variable prices. This dependence on fluctuations and the possibly indicative nature of the prices mentioned will be stated in the offer.
Price increases within three months after the conclusion of the contract are only permitted if they result from legal regulations or provisions.
Price increases more than three months after the conclusion of the contract are only permitted if the professional has stipulated this and if:

They are the result of legal regulations or provisions.

The consumer has the right to terminate the contract as of the day the price increase takes effect.
All prices are subject to typographical or printing errors. No liability is accepted for the consequences of such errors. In the event of typographical or printing errors, the professional is not obliged to deliver the product at the incorrect price.
Article 10 – Conformity and Warranty
The professional guarantees that the products and/or services comply with the contract, the specifications stated in the offer, the reasonable requirements of soundness and/or usability, and the legal provisions and/or government regulations existing on the date of the conclusion of the contract. If agreed, the professional also guarantees that the product is suitable for other than normal use.
Any warranty provided by the professional, manufacturer or importer does not affect the legal rights and claims that the consumer can assert against the professional under the contract.
Any defects or incorrectly delivered products must be reported to the professional in writing within 30 days after delivery. Products must be returned in their original packaging and in new condition.
The professional's warranty period corresponds to the manufacturer's warranty period. However, the professional is never responsible for the ultimate suitability of the products for each individual application by the consumer, nor for any advice regarding the use or application of the products.
The warranty does not apply if:

The consumer has repaired and/or modified the delivered products themselves or has had them repaired and/or modified by third parties.
-
The delivered products have been exposed to abnormal conditions or otherwise treated carelessly or contrary to the professional's instructions and/or the instructions on the packaging.
-
The defect is wholly or partly the result of regulations that the government has made or will make regarding the nature or quality of the materials used.
Article 11 – Delivery and Execution
The professional will exercise the greatest possible care when receiving and executing product orders.
Subject to the provisions of Article 4 of these General Terms and Conditions, the company will execute accepted orders with due speed, but in any case no later than within 30 days, unless the consumer has agreed to a longer delivery period.
If delivery is delayed, or if an order cannot be executed or can only be executed partially, the consumer will be notified of this no later than 30 days after they placed the order. In that case, the consumer has the right to terminate the contract without charge and, if applicable, to claim compensation.
In the event of termination in accordance with the previous paragraph, the professional will refund the amount paid by the consumer as soon as possible, but in any case no later than 30 days after termination.
If delivery of an ordered product proves impossible, the professional will endeavor to make a replacement article available. At the latest at the time of delivery, it will be clearly and comprehensibly stated that a replacement article is being delivered.
The right of withdrawal cannot be excluded for replacement articles. The costs of any return shipment will be borne by the professional.
The risk of damage and/or loss of products rests with the professional until the moment of delivery to the consumer or a representative previously designated by the consumer and communicated to the professional, unless expressly agreed otherwise.
Article 12 – Successive Performance Contracts: Duration, Termination, and Renewal
Résiliation
Le consommateur peut résilier à tout moment un contrat à durée indéterminée portant sur la fourniture périodique de produits (y compris l’électricité) ou de services, dans le respect des modalités de résiliation convenues et avec un préavis maximal d’un mois.
Le consommateur peut résilier un contrat à durée déterminée portant sur la fourniture périodique de produits (y compris l’électricité) ou de services à l’expiration de la durée convenue, dans le respect des modalités de résiliation convenues et avec un préavis maximal d’un mois.
Le consommateur peut :
-
Résilier à tout moment les contrats mentionnés ci-dessus sans être limité à une date ou à une période spécifique.
-
Résilier au moins selon les mêmes modalités que celles utilisées pour conclure le contrat.
-
Toujours résilier avec le même délai de préavis que celui prévu par le professionnel pour lui-même.
Renouvellement
Un contrat à durée déterminée portant sur la fourniture périodique de produits (y compris l’électricité) ou de services ne peut être tacitement prolongé ou renouvelé pour une durée déterminée.
Par dérogation à ce qui précède, un contrat à durée déterminée portant sur la fourniture périodique de quotidiens, journaux, hebdomadaires et magazines peut être tacitement prolongé pour une durée maximale de trois mois, à condition que le consommateur puisse résilier le contrat prolongé à l’expiration de cette prolongation avec un préavis maximal d’un mois.
Un contrat à durée déterminée portant sur la fourniture périodique de produits ou de services ne peut être tacitement prolongé pour une durée indéterminée que si le consommateur peut le résilier à tout moment avec un préavis maximal d’un mois et avec un préavis maximal de trois mois lorsque le contrat porte sur la livraison périodique, mais moins d’une fois par mois, de quotidiens, journaux, hebdomadaires et magazines.
Un contrat de durée limitée ayant pour objet la fourniture à titre d’essai ou promotionnel de quotidiens, journaux, hebdomadaires et magazines ne sera pas tacitement prolongé et prendra automatiquement fin à l’issue de la période d’essai ou promotionnelle.
Durée
Lorsqu’un contrat a une durée supérieure à un an, le consommateur peut le résilier à tout moment après un an, avec un préavis maximal d’un mois, sauf si des considérations de raisonnabilité et d’équité s’opposent à une résiliation avant l’expiration de la durée convenue.
Article 13 – Paiement
Sauf accord contraire, les sommes dues par le consommateur doivent être réglées dans un délai de sept jours ouvrés à compter du début du délai de rétractation visé à l’article 6, paragraphe 1.
Dans le cas d’un contrat portant sur la fourniture d’un service, ce délai commence à courir au moment où le consommateur reçoit la confirmation du contrat.
Le consommateur est tenu de signaler immédiatement au professionnel toute inexactitude dans les informations de paiement fournies ou indiquées.
En cas de non-paiement par le consommateur, le professionnel est en droit, dans les limites prévues par la loi, de facturer au consommateur les frais raisonnables qui lui ont été préalablement communiqués.
Article 14 – Procédure de réclamation
Les réclamations relatives à l’exécution du contrat doivent être adressées au professionnel dans les sept jours suivant la découverte du défaut par le consommateur, de manière complète et clairement décrite.
Les réclamations adressées au professionnel recevront une réponse dans un délai de 14 jours à compter de leur réception.
Si une réclamation nécessite un délai de traitement prévisiblement plus long, le professionnel répondra dans le délai de 14 jours en accusant réception de la réclamation et en indiquant le délai dans lequel le consommateur peut s’attendre à recevoir une réponse plus détaillée.
Si la réclamation ne peut être résolue d’un commun accord, un litige soumis à la procédure de règlement des litiges surviendra.
Une réclamation ne suspend pas les obligations du professionnel, sauf indication écrite contraire de sa part.
Si une réclamation est jugée fondée par le professionnel, celui-ci procédera, à sa discrétion, au remplacement ou à la réparation gratuite des produits livrés.
Article 15 – Litiges
Les contrats conclus entre le professionnel et le consommateur auxquels s’appliquent les présentes Conditions Générales sont exclusivement régis par le droit français.
Cette disposition s’applique également lorsque le consommateur réside à l’étranger.
